The Bangladesh Securities and Exchange Commission (BSEC) has permitted eligible companies to list directly on the country’s stock exchanges without issuing an Initial Public Offering (IPO).

The capital market regulator issued a notification on Sunday detailing the revised direct listing framework.

Under the new regulations, existing shareholders can unload their shares on the secondary market without the issuing company floating new equity to the public, reports bdnews24.com.

The facility, previously restricted to state-owned enterprises, has now been expanded to encompass multiple corporate categories.

Eligible entities include companies with at least a 10pc government stake and firms wholly or majority-owned by foreign investors, defined as holding a minimum 51pc paid-up capital.

Scheduled banks, non-bank financial institutions, and insurance companies boasting a net worth of at least Tk 5 billion based on their latest audited financial reports also qualify.

Furthermore, non-financial companies with an annual turnover of Tk 10 billion or more are eligible, alongside registered stock exchanges, central depositories, and clearing and settlement companies.
